1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of Roshan Accessories, https://roshan.com, and the services provided through them (collectively, the "Platform").
The Platform is operated by Roshan Accessories ("we", "us", "our", or the "Company").
By accessing the Platform, creating an account, or placing an order, you agree to be bound by these Terms.
If you do not agree with these Terms, you should not use the Platform.

2. Eligibility

You must be legally capable of entering into a binding agreement under applicable law to use the Platform and place orders.
If you are using the Platform on behalf of another person or organization, you confirm that you have authority to accept these Terms on their behalf.

3. Accounts

Certain features may require you to create an account.
You agree to provide accurate and current information when creating an account.
You are responsible for maintaining the security of your account and for activities carried out through it.
You must notify us promptly if you believe that your account has been accessed without authorization.

4. Social Login

We may allow users to authenticate using third-party providers such as Google, Microsoft, Facebook, X, or other supported authentication services.
When using social login:

• You must provide truthful information to the authentication provider;
• You authorize the relevant provider to authenticate your identity;
• You authorize us to receive the information necessary to create or access your account;
• You remain responsible for complying with the provider's terms.

We do not receive or store your social-provider password.
Your use of third-party authentication services is also subject to the terms and policies of those providers.

5. Products

We make reasonable efforts to ensure that product descriptions, photographs, prices, availability, colors, sizes, and other product information are accurate.
However, actual product appearance may vary due to:

• Screen settings;
• Lighting;
• Photography;
• Manufacturing variations;
• Product batches; or
• Other circumstances outside our reasonable control.

We reserve the right to correct errors and update product information at any time.

6. Product Availability

Products displayed on the Platform are subject to availability.
Adding an item to a shopping cart does not necessarily guarantee that the item will remain available.
We may cancel or modify an order where a product is unavailable, incorrectly listed, or affected by an inventory error.
Where appropriate, we will notify you and provide a refund for amounts already paid for unavailable products.

7. Prices

Prices are displayed in KSh, unless otherwise stated.
Prices may change at any time.
The price applicable to an order is generally the price displayed at the time the order is submitted, subject to obvious pricing errors and other circumstances described in these Terms.
Additional costs such as:

• Delivery charges;
• Taxes;
• Duties; or
• Other applicable fees

may apply and will be displayed where reasonably possible before order confirmation.

8. Orders

When you place an order, you are making an offer to purchase the selected products.
After submitting an order, you may receive an order confirmation.
An order confirmation does not necessarily mean that the order has been finally accepted.
We reserve the right to refuse or cancel an order where reasonably necessary, including in cases involving:

• Product unavailability;
• Pricing errors;
• Suspected fraud;
• Payment problems;
• Incorrect customer information;
• Delivery restrictions; or
• Technical errors.

If we cancel an order for which payment has already been received, we will arrange an appropriate refund.

9. Payment

We may support payment methods including mobile money, bank cards, PayPal, or other payment services.
Available payment methods will be displayed during checkout.
Payments may be processed by third-party payment providers.
You agree to provide accurate payment and billing information.
We are not responsible for delays, failures, or restrictions imposed by a third-party payment provider, except where liability cannot legally be excluded.

10. Payment Authorization

By submitting payment information or initiating a payment, you authorize the applicable payment provider to process the transaction for the amount displayed at checkout.
For mobile-money payments, you may be required to authorize the transaction on your mobile device.
For card payments, authentication or additional verification may be required by the payment provider or card issuer.

11. Delivery

We will arrange delivery according to the delivery option selected during checkout.
Delivery times are estimates unless expressly stated otherwise.
Delivery may be affected by:

• Weather;
• Transportation problems;
• Customs;
• Incorrect delivery information;
• Public holidays;
• Service-provider delays;
• Events outside our reasonable control.

You are responsible for providing accurate delivery information.
We may not be responsible for delivery failures resulting from incorrect information provided by you.

12. Returns, Exchanges, and Refunds

Our return, exchange, and refund procedures are described in our Return & Refund Policy.
Where applicable law gives you mandatory consumer rights, nothing in these Terms is intended to remove or restrict those rights.
Refunds may be subject to the payment provider's processing times.

13. Cancellation

You may cancel an order where permitted by our cancellation policy and applicable law.
Once an order has been processed, dispatched, or delivered to a carrier, cancellation may no longer be possible.
Where cancellation is accepted, any refund will be processed according to our applicable refund procedure.

14. User Conduct

You agree not to:

• Use the Platform for unlawful purposes;
• Attempt to gain unauthorized access to our systems;
• Interfere with Platform security;
• Introduce malicious software;
• Scrape or systematically copy Platform content without permission;
• Use another person's account without authorization;
• Submit fraudulent orders;

• Attempt to manipulate prices or inventory;
• Impersonate another person;
• Abuse customer-support services; or
• Otherwise interfere with the operation of the Platform.

15. Intellectual Property

Unless otherwise indicated, the Platform and its content are owned by or licensed to Roshan Accessories.

• Photographs;
• Graphics;
• Website design;
• Software;
• Text;
• Database structure; and

You may use the Platform for personal and legitimate shopping purposes.
You may not reproduce, modify, distribute, sell, publicly display, or commercially exploit our content without prior written permission, except where permitted by law.

16. User-Generated Content

If the Platform allows reviews, comments, photographs, or other user-generated content, you remain responsible for the content you submit.
You must not submit content that:

• Is unlawful;
• Infringes another person's rights;
• Contains malicious software;
• Is fraudulent or misleading;
• Is abusive, threatening, or defamatory;
• Contains another person's private information without authorization; or
• Violates applicable law.

By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content as reasonably necessary to operate and promote the Platform, subject to applicable law.

Your use of the Platform is also governed by our Privacy Policy. The Privacy Policy explains how we collect and process personal information, including information associated with social authentication, orders, payments, and account management.

We are not responsible for third-party services except to the extent required by applicable law.

• The Platform will be free from all security vulnerabilities.

Nothing in these Terms excludes rights or protections that cannot legally be excluded.

22. Limitation of Liability

To the maximum extent permitted by applicable law, Roshan Accessories will not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from your use of the Platform.
Nothing in these Terms limits liability where such limitation is prohibited by law, including applicable mandatory consumer protections.

23. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Roshan Accessories, its officers, employees, contractors, and service providers from claims, losses, damages, liabilities, and expenses arising from:

• Your unlawful use of the Platform;
• Your violation of these Terms;
• Your infringement of another person's rights; or
• Fraudulent or unauthorized activity associated with your account.

24. Suspension and Termination

We may suspend or terminate access to your account or the Platform where reasonably necessary, including where:

• You violate these Terms;
• We suspect fraud or abuse;
• Your activity creates a security risk;
• Required by law; or
• We discontinue the relevant service.

Termination does not necessarily eliminate obligations that arose before termination.

25. Changes to These Terms

We may update these Terms periodically. The updated version will be posted on the Platform with a new "Last Updated" date. Where required by law, we will provide additional notice of material changes. Your continued use of the Platform after the effective date of updated Terms may constitute acceptance where legally permitted.

26. Governing Law

These Terms shall be governed by the laws of Kenya, unless applicable mandatory consumer-protection law requires otherwise.
Any dispute arising from these Terms shall be subject to the jurisdiction of the competent courts of Kenya, unless applicable law provides otherwise.

27. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

28. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Return & Refund Policy, and other policies expressly incorporated into them, constitute the agreement between you and us concerning your use of the Platform.
